Pittsburgh, Pennsylvania-based UPMC has signed a definitive agreement with CommonSpirit Health to acquire Trinity Health System, a hospital system operating multiple hospitals and outpatient facilities across the Ohio Valley. The transaction, which is expected to close in fall 2026 pending regulatory approvals and customary closing conditions, includes Trinity West, Trinity East, Trinity St. Clairsville Neighborhood Hospital, Trinity Twin City Medical Center and associated clinics.
No financial terms were disclosed.
Trinity Health System is part of Chicago-based CommonSpirit Health and operates hospitals, neighborhood facilities and physician clinics serving eastern Ohio. UPMC said the integration is intended to expand clinical offerings and maintain local access to care in the Ohio Valley.
The agreement follows a nonbinding letter of intent that the organizations announced in October 2025. Trinity’s transfer would extend UPMC’s regional footprint beyond Pennsylvania, New York and Maryland, where the health system currently operates more than 40 hospitals.
UPMC has been fairly active in the healthcare M&A market recently, according to transaction data captured in our LevinPro HC platform. Just in March, the system acquired Pennsylvania Gastroenterology, a gastroenterology practice based in Camp Hill, Pennsylvania. In June 2024, UPMC signed a merger agreement with Washington Health System, a two-hospital system in Washington, Pennsylvania. The two hospitals became UPMC Washington and UPMC Greene.
