GenieRx Holdings LLC has received U.S. Bankruptcy Court approval to acquire Omnicare, LLC, a leading national provider of pharmacy services to skilled nursing facilities and assisted living communities, from CVS Health. GenieRx is a joint partnership between Milrose Capital LLC and Integro Asset Management LLC (doing business as Integro Healthcare Services). The transaction is expected to close later in 2026, subject to regulatory approvals and customary closing conditions. Financial terms were not disclosed.
Omnicare provides comprehensive pharmacy services, including dispensing, clinical consulting and data-driven programs tailored to the needs of long-term care residents, many with higher acuity. The business will continue operating under the Omnicare name with a focus on reliable service, clinical best practices and continuity of care during the transition. David Azzolina will remain President of Omnicare.
The deal concludes a court-supervised sale process and transfers the platform to new ownership committed to maintaining high standards of pharmacy services for senior care providers. GenieRx was represented in the process by its partners at Milrose Capital and Integro Healthcare Services. Omnicare was advised by Houlihan Lokey (investment banker), Jenner & Block LLP and Haynes Boone (legal) and Alvarez & Marsal (restructuring).
According to data captured in the LevinPro HC database, there have been seven Specialty Pharmacy acquisitions announced since the start of the year. Other acquirers in the space this year include CareTria (acquired Washington, D.C.-based CaryHealth), Apotex (acquired Nashville, Tennessee-based Cumberland Pharmaceuticals), Pharma Fusion (acquired Chicago, Illinois-based Columbia Pharmacy), Noom (acquired Nicholasville, Kentucky-based Tailor Made Compounding), Cigna (acquired Mercer Island, Washington-based CarepathRx) and CS One (acquired Springfield Township, New Jersey-based Partners Pharmacy Services). There were 23 Specialty Pharmacy transactions announced in 2025, and 28 announced in 2024.
