SCA Health announced on August 18 that it was entering an agreement to acquire U.S. Digestive Health, which serves Pennsylvania and Delaware. 

The seller was Amulet Capital Partners, LP, a middle-market private equity firm focused exclusively on healthcare. 

U.S. Digestive Health was formed in 2019 by Amulet Capital Partners, LP in partnership with member practice partner physicians. According to its website, as of August 19, 2025, there are 149 physicians on staff. Additionally, the company runs more than 20 ambulatory surgery centers. It is based in Exton, Pennsylvania. While still under Amulet Capital Partners’ ownership, U.S. Digestive Health completed seven transactions, expanding its presence by nearly 60 physicians. 

SCA Health, based in Birmingham, Alabama, is an operator of outpatient surgery facilities with a network of more than 300 ambulatory surgery centers in 35 states performing more than 1 million outpatient surgery procedures annually. It is backed by UnitedHealth Group.

This is not the first acquisition that UnitedHealth and Optum have announced recently. Earlier in August, Optum purchased Holston Medical Group, a multi-specialty practice based in Kingsport, Tennessee. In April, it acquired Crystal Run Healthcare, a multi-specialty physician group with 390 providers across more than 30 New York locations.

The financial terms of the transaction were not disclosed. This strengthens SCA Health’s footprint in Pennsylvania. 

According to data captured in the LevinPro HC database, this marks SCA Health’s first acquisition. There have also been 306 Physician Medical Group acquisitions announced since the start of 2025, five of them in the gastroenterology space. There were six gastroenterology transactions announced in all of 2024 and 19 in 2023.

Over the last five years, other buyers in the gastroenterology market include Waud Capital Partners GI Alliance (22 deals), OMERS Private Equity’s Gastro Health (21 deals), Webster Equity PartnersOne GI (14 deals) and Frazier Healthcare PartnersUnited Digestive (seven deals).
