Healthcare Triangle, Inc. announced the successful closing of its acquisition of the business and assets of Niyama Healthcare, Inc., including intellectual property, contracts and key personnel. The transaction also includes 100% ownership of Ezovion Solutions, a hospital information systems provider.

The acquisition has been executed through Healthcare Triangle’s wholly owned subsidiary QuantumNexis. The deal strengthens Healthcare Triangle’s global footprint, enhances its offerings in the digital healthcare market and deepens its presence in the mental health and hospital information system markets across India, Southeast Asia and Europe.

The total consideration is $5.7 million which includes $1.5 million in cash (with $1.2 million paid at closing), $3 million in restricted common stock of HCTI and up to $1.2 million in earn-out payments contingent on first-year financial performance. The total upfront payment is $4.2 million.

Niyama Healthcare is an integrative mental health platform that helps treat depression, anxiety and other mental health disorders virtually. Ezovion Solutions is an Indian company recognized for its integrated hospital information system and electronic health records solutions. Both companies are based in India.

During the transition period through August 15, 2025, Niyama will continue to support operational continuity including revenue collection and payroll processing, while full integration with Healthcare Triangle’s systems and personnel is underway.

According to data captured in the LevinPro HC database, this acquisition represents the 146th eHealth transaction of the year, as of June 16, 2025. This is an increase from last year when there were 112 eHealth deals announced between January 1, 2024, and June 16, 2024. There were 246 eHealth deals announced during all of 2024, and 274 announced in 2023.
