BrightSpring Merges with KKR’s PharMerica

BrightSpring Health Services and PharMerica are merging to create a national home care business with its own pharmacy services provider under KKR & Co. (NYSE: KKR). Both companies are based in Louisville, Kentucky and will continue to operate from there. Financial terms were not disclosed. BrightSpring, formerly known as ResCare, was a portfolio company of Onex Corporation (TOR: ONEX). It provides comprehensive home and community-based health services in behavioral health, digital health, hospice and homecare to complex populations in need of specialized care. Amazon Scoops Up PillPack for $1 Billion

Amazon (NASDAQ: AMZN) finally took the plunge into the pharmaceutical market with its approximately $1 billion acquisition of five-year-old PillPack, an online pharmacy startup based in Manchester, New Hampshire. Financial terms weren’t disclosed in the deal’s announcement, but on June 28, the day of the announcement, The Wall Street Journal quoted sources on the price. In April 2018, Walmart (NYSE: WMT) was reported to be in discussions with PillPack, and targeting a price under $1 billion, according to CNBC. Walgreens Buys Pharmacies from Detroit Medical Center

 The Detroit Medical Center (DMC) sold off its retail and outpatient pharmacy business to Walgreens, a unit of Walgreens Boots Alliance (NYSE: WBA), for an undisclosed amount, according to Crain’s Detroit Business. The deal includes seven specialty pharmacy sites and one mail-order service business. The DMC made the move as part of a pharmacy reorganization, a process that has resulted in layoffs or reassignments of some two dozen employees. The hospital is part of Tenet Healthcare Corp. With one month to go in Q4:17, the pace may be picking up. Deal volume through December 1 stood at 231 transactions (-39% to last year’s 379), and $19.6 billion (-49% vs. $38.6 billion in Q4:16). CVS Wins Omnicare Auction

Omnicare Inc. (NYSE: OCR) put itself on the market in April, with bids due in May. At the time, its market value was estimated to be about $8.5 billion. CVS Health Corp. (NYSE: CVS), Express Scripts Holding Co. (NASDAQ: ESRX), McKesson Corp. (NYSE: MCK) and Walgreens Boots Alliance Inc. (NASDAQ: WBA) were expected to kick the tires. Last week, CVS won the deal with $12.7 billion, including $2.3 billion in debt. Omnicare’s big draw is its specialty pharmaceutical business focused on assisted living and long-term care facilities.
