PE Firms Join to Form Home Health Care Giant

Consolidation isn’t a novel concept in the healthcare market, although it has been slow to arrive for some. The Home Health & Hospice sector has experienced a few jolts in the past six months, as three publicly traded giants merged or were split up. Now the private equity side has sent a shock wave through this sector, pulling together three separate platform companies into a major contender. ResCare Switches to ‘Home Health Lite’

ResCare Inc., a portfolio company of Onex Corp. (TSE: ONEX), is changing the direction of its home health segment. ResCare, the nation’s largest private provider of services to people with disabilities, has been divesting its home health assets since 2014. A recent 10-K filing by Onex Corp. stated that ResCare was exiting the skilled line of business in the home care segment and transitioning to home health services without the skilled nursing. The exit resulted in a 2% decrease in revenue between 2015 and 2016, which was substantially offset by acquisitions within the home care and residential services segments, according to the filing. 2016 Home Health and Hospice Deals Picked Up

After a rough 2015, when the M&A bubble burst in this sector, deal volume in 2016 showed signs of recovery. Fifty-seven deals were announced in 2016, a 12% increase compared with the previous year. A few companies accounted for several deals. Jordan Health Services, a portfolio company of Palladium Equity Partners, led with five transactions. Epic Health Services, a portfolio company of Webster Capital, announced four deals, as did Kindred Healthcare (NYSE: KND). Home Health Sector Closes 2016 in ‘Epic’ Deal

The year is ending on a high note for mergers and acquisitions in the Home Health & Hospice sector. Deal volume reached 54 transactions by mid-December, and could go higher as we finish up the year. Last year ended with 51 transactions. Consolidation continued, as buyers such as Kindred Healthcare (NYSE: KND) and Epic Health Services announced four acquisitions apiece. Home Health & Hospice M&A Rebounds

There’s nothing sleepy about the Home Health & Hospice sector. Through the end of July 2016, this market has seen 35 transactions, putting this year on track to beat 2015’s total of 51 deals. Eleven of these 35 deals disclosed prices, totaling approximately $610 million spent so far this year. Sixty-percent of 2016’s home health & hospice acquirers have been other home health & hospice companies, with the busiest players being LHC Group (NASDAQ: LHCG) and privately held Jordan Health Services with two and three acquisitions, respectively.
