Four More Behavioral Health Deals in May

Mergers and acquisitions in the behavioral health care sector have picked up significantly in April and May. Although only eight deals were announced in the first quarter of 2016, nine more have come along in just the past six weeks. Four have been announced in the first 10 days of May, beginning with Acadia Healthcare Company (NASDAQ: ACHC) and its acquisition of TrustPoint Hospital in Murfreesboro, Tennessee from privately-held Polaris Hospital Company. TrustPoint is a 129-bed facility, and since the deal closed on May 1, Acadia has filed a certificate of need for another 100 beds. Behavioral health is a growing national concern, finally, and investors are responding to the growing public attention. Mergers and acquisitions in this healthcare sector rose more than 46% last year, to more than 40 transactions. It’s only mid-September, but the number of behavioral health care transactions is approaching last year’s total—and is likely to surpass it. Through September 11, we’ve recorded 21 deals in this sector, compared with 2014’s total of 22, which was the highest number of deals since 2006’s total of 24 transactions. Universal Health Ups its UK Holdings

The United Kingdom is still luring behavioral health buyers from the United States. Last week Universal Health Services (NYSE: UHS) picked up Alpha Hospitals Holdings Ltd., a privately held company, for an undisclosed price. Alpha operates four behavioral health hospitals with a combined total of 305 beds. It will be added to Universal’s London-based Cygnet Health Care group, which was acquired in September 2014 for $335 million. Cygnet came with 17 facilities, including 15 inpatient behavioral health hospitals (743 beds, total) and two nursing homes. Behavioral Health Deals in 2015

The behavioral health sector got a slight bump in April, when the CMS proposed that inpatient psychiatric facilities receive a 1.6% rate increase from Medicare in fiscal 2016. Quality metrics are also part of the proposal, and will affect psychiatric facility payments beginning in fiscal 2018. M&A activity in this sector is always very light, but the 11 transactions we’ve recorded in 2015 are slightly ahead of the same period in 2014.
