Syneos Health to be Acquired by a Private Investment Consortium In $7.1 Billion Deal

Syneos Health is being acquired by a consortium of private investment firm affiliates composed of Elliott Investment Management, Patient Square Capital and Veritas Capital. Completion of the transaction is expected in the second half of 2023. The consortium of private investment firm affiliates is acquiring Syneos for $43.00 per share in cash in a transaction valued at approximately $7.1 billion, including outstanding debt. Gainwell Technologies Acquires HMS

Gainwell Technologies, a portfolio company of Veritas Capital, has announced it acquired HMS (NASDAQ: HMSY). HMS provides a broad range of payment accuracy and population health management solutions, as well as analytics and engagement solutions. Under the terms of the agreement, Gainwell will buy HMS for $3.4 billion, or $37 per share in cash, a 52% premium to HMS’ unaffected share price as of October 2, 2020, the last trading day prior to when reports of a possible transaction were published. When Mike Salvino took over as CEO of DXC Technology (NYSE: DXC) in September 2019, he announced during his first earnings call that the company was planning strategic alternatives, including the possible divesture of three of its non-core assets, which made up roughly 25% of the company’s revenue. Digital Health Sector M&A Activity Stays Strong in June

June was a busy month for the digital health sector. Our totals so far are 16 deals, but that number may increase as we find some deals disclosed in quarterly reports.  It doesn’t quite reach the count from June 2018 (25 deals), but 2018 was so robust in deal volume it’s a hard comparison to make.
