Varian and Siemens Healthineers Merge in Multi-Billion Dollar Deal

After a slow opening month for the third quarter, the merger between Varian Medical Systems (NYSE: VAR) and Siemens Healthineers AG (XETRA: SHL.DE) might bring some spark to the healthcare M&A market. Siemens Healthineers announced it was purchasing Varian for $16.4 billion, the largest deal of the year so far. Siemens Healthineers will acquire all shares of Varian for $177.50 per share in cash, a premium of approximately 24% to the closing price of Varian’s common stock on July 31, 2020. Varian Medical Makes Two Deals in May

Varian Medical Systems (NYSE: VAR) is on the move again. The Palo Alto, California-based medical device maker announced two deals in May 2019 targeting two very different companies. Varian (market cap $11.6 billion) designs, manufactures, sells and services medical devices and software products for treating cancer and other medical conditions. The earlier deal, announced on May 9, brought aboard privately held cardiac ablation firm Cyberheart, based in Sunnyvale, California, for an undisclosed amount. This week BioTelemetry, Inc. (NASDAQ: BEAT) purchased Geneva Healthcare, Inc. for $45 million, continuing the 2018 trend of medical device companies acquiring digital health groups. BioTelemetry provides cardiac monitoring device manufacturing and monitoring and wanted Geneva’s proprietary cloud-based platform. Fourth Quarter 2018 Blasts Off with Heavy Deal Volume

Healthcare transactions kicked into high gear in October, with preliminary data showing a monthly total of 176 deals, the highest monthly tally reported this year. It bests September’s 144 deals by 22%, and the year-ago volume of 151 deals by 17%. Eight of the 13 sectors saw solid gains compared with October 2017 results. The Long-Term Care sector saw a boost to 30 deals, up 15% compared with the previous month, and 25% year over year. PerkinElmer Buys EUROIMMUN for $1.3 Billion

Mergers and acquisitions in the Laboratories, MRI and Dialysis sector increased nearly 30% through late June, compared with the same time last year. Fourteen acquirers inked 22 acquisitions, and most of the deal making was done by publicly traded companies, with financial buyers only accounting for four of the deals. PerkinElmer, Inc. (NYSE: PKI) has been involved in several deals as a result of undergoing some business changes.
