Merck Buys Caraway Therapeutics

On November 21, Merck & Co., Inc. announced that it was acquiring Caraway Therapeutics, a biotechnology company based in Cambridge, Massachusetts. The addition of Caraway Therapeutics will broaden Merck’s preclinical pipeline with a selection of programs aimed at Parkinson’s disease and beyond.  Merck, through a subsidiary, will buy Caraway for a total potential consideration of up to $610 million, including an undisclosed upfront payment as well as contingent milestone payments. Miltenyi Biotec, a Bergisch Gladbach, Germany-based company, announced on March 22 that it acquired lino Biotech. Miltenyi Biotec purchased 100% of the shares from investors such as Switzerland-based Roche Venture Fund and Germany-based Hightech-Grunderfonds. Pfizer Acquires Seagen for $43 Billion

Pfizer Inc. has acquired Seagen Inc. for $43 billion, representing the largest purchase price for a biotechnology deal in 2023. The transaction is expected to be completed in late 2023 or early 2024. Pfizer will pay $229 in cash for each share of Seagen and pay primarily through $31 billion in new, long-term debt. Shares of Pfizer rose 2% to $40.26 after markets opened on March 13 while Seagen’s stock soared more than 15% to nearly $200. Seagen Inc. specializes in working with antibody-drug conjugate technology. Roche Acquires Spark Therapeutics, Inc. in Another Large Biotech Deal

It’s been a busy year for the biotechnology sector so far, and this week continued the trend. Roche (SIX: RO), the global pharmaceuticals and diagnostics company, acquired Spark Therapeutics, Inc. (NASDAQ: ONCE) for $4.3 billion. At $114.50 per share, the price represents a 122% premium to Spark’s closing price on February 22, 2019, and a 19% premium to Spark’s high share price on July 9, 2018. Founded in 2013, Spark Therapeutics develops gene therapies for genetic diseases, including blindness, hemophilia, lysosomal storage disorders, and neurodegenerative diseases.
